Terms and Conditions

These Terms are intended to explain the core rules that apply to Paynis Private Exchange. They are not legal, tax, investment, or financial advice, and additional account-specific notices may apply to particular products, countries, payment methods, or transactions.

1. Agreement and eligibility

These Terms and Conditions govern your access to and use of Paynis Private Exchange, a private digital asset and FIAT exchange platform operated by Paynis PE LLC. By creating an account, submitting a transaction request, connecting a wallet, or otherwise using the platform, you agree to these Terms and any policies referenced here.

You must be at least 18 years old, have legal capacity to enter into these Terms, and be permitted under the laws of your jurisdiction to use digital asset and FIAT exchange services. You may not use the platform on behalf of another person or entity unless you are authorized to do so and provide any requested verification information.

2. Regulated financial activity and compliance checks

Digital asset exchange activity may be subject to money transmission, anti-money laundering, counter-terrorist financing, sanctions, tax, consumer protection, and other financial services laws. Paynis may require identity verification, source-of-funds information, wallet screening, transaction monitoring, enhanced due diligence, and ongoing compliance reviews before, during, or after a transaction.

You agree to provide accurate, current, and complete information and to promptly update information if it changes. Paynis may delay, reject, freeze, reverse where possible, or cancel an account or transaction when required by law, when requested by a financial institution or government authority, or when Paynis identifies suspicious, prohibited, high-risk, or inconsistent activity.

3. Prohibited use

You may not use Paynis for fraud, scams, market manipulation, sanctions evasion, money laundering, terrorist financing, illegal gambling, ransomware, darknet activity, human trafficking, weapons activity, exploitation, stolen funds, unauthorized account access, intellectual property infringement, or any activity that violates applicable law or third-party rights.

You may not attempt to bypass geographic restrictions, wallet screening, rate limits, verification requirements, security controls, or platform rules. Paynis may report suspected prohibited activity to regulators, law enforcement, financial partners, blockchain analytics providers, or other appropriate parties.

4. Exchange requests, quotes, fees, and availability

Exchange rates, quotes, limits, fees, supported assets, supported networks, payout methods, settlement rails, and processing times may change based on liquidity, market movement, network congestion, bank availability, compliance review, payment partner requirements, and operational risk. A displayed quote is not final until Paynis accepts and processes the transaction.

You are responsible for reviewing all transaction details before submission, including asset, network, amount, wallet address, bank details, recipient name, fees, exchange rate, and third-party charges. You authorize Paynis and its service providers to deduct disclosed fees and applicable costs from the transaction amount or account balance.

5. Wallets, blockchain transfers, and irreversible transactions

You are solely responsible for the accuracy and compatibility of wallet addresses, destination tags, memos, networks, and bank instructions you provide. Digital asset transfers may be irreversible once broadcast or confirmed on a blockchain, and Paynis is not responsible for losses caused by incorrect wallet details, unsupported networks, smart contract behavior, phishing, compromised wallets, or third-party wallet failures.

Paynis may refuse to send to or receive from wallets, protocols, mixers, bridges, exchanges, or addresses that are unsupported, sanctioned, high-risk, or otherwise restricted by Paynis or its compliance partners.

6. FIAT payments, chargebacks, and settlement

FIAT deposits and withdrawals are subject to bank, card, payment processor, correspondent banking, currency conversion, beneficiary, and local payment network rules. Settlement times are estimates only and may be delayed by weekends, holidays, intermediary banks, account review, inaccurate instructions, recalls, chargebacks, fraud claims, or compliance holds.

You agree not to initiate improper chargebacks, reversals, disputes, or payment recalls. If a payment is reversed, rejected, or charged back, you remain responsible for any resulting negative balance, fees, losses, collection costs, or returned funds owed to Paynis or its partners.

7. Account security

You are responsible for maintaining the confidentiality of your credentials, devices, email account, wallet keys, and authentication methods. Notify Paynis immediately if you suspect unauthorized access, compromised credentials, or suspicious account activity.

Paynis may suspend access, require additional verification, reset credentials, or restrict transactions to protect users, the platform, financial partners, or the public from security or fraud risks.

8. Taxes and independent responsibility

You are responsible for determining, reporting, and paying all taxes, duties, and governmental assessments that may apply to your digital asset transactions, gains, losses, income, payments, or transfers. Paynis does not provide tax, legal, investment, accounting, or financial advice.

Digital assets are volatile and may lose value. You acknowledge that exchange services are not deposits, securities accounts, brokerage accounts, or insured bank products unless expressly stated by a regulated provider.

9. Platform changes, suspension, and termination

Paynis may modify, suspend, discontinue, or restrict any feature, asset, network, country, payment method, account, or transaction at any time for legal, compliance, security, business, liquidity, or operational reasons.

You may stop using the platform at any time. Paynis may terminate or suspend your access if you violate these Terms, create risk, provide inaccurate information, fail verification, or use the platform in a way Paynis reasonably believes is unlawful or harmful.

10. Disclaimers, liability limits, and indemnity

The platform is provided on an “as is” and “as available” basis. Paynis does not guarantee uninterrupted access, specific rates, asset availability, settlement timing, network confirmation, or third-party service performance.

To the maximum extent permitted by law, Paynis is not liable for indirect, incidental, special, consequential, punitive, or lost-profit damages, or for losses caused by market movement, third-party providers, user error, network failures, security incidents outside Paynis control, or legally required holds. You agree to indemnify Paynis, its affiliates, employees, contractors, and partners from claims arising from your breach of these Terms, misuse of the platform, inaccurate information, or violation of law.

11. Disputes and updates

Contact Paynis first so we can try to resolve concerns informally. Any dispute will be handled under the governing law and venue stated by Paynis for your account or transaction, unless applicable consumer law requires otherwise.

Paynis may update these Terms from time to time. Continued use of the platform after updated Terms are posted or otherwise provided means you accept the revised Terms. If you do not agree, you must stop using Paynis Private Exchange.
